FenixTrace Terms of Use
Rules and guidelines for using our blockchain supply chain platform
1. Acceptance of Terms
By accessing and using the FenixTrace platform (hereinafter "the Platform"), the user fully accepts these Terms of Use. If you do not accept these terms, please do not use the Platform. These Terms constitute a legally binding agreement between the user and Fenix S.r.l., with registered office at Via Casilina 3, 00182 Rome, Italy, VAT IT03097500601. Fenix S.r.l. reserves the right to modify these Terms at any time. Changes take effect from the date of publication on the Platform.
2. Platform Purpose
FenixTrace is a platform designed to support companies, producers and creators in transparent supply chain management, ensuring data integrity, digital signatures, decentralized storage (IPFS) and blockchain interoperability. Any improper use of the platform will be considered a violation of these Terms. The Platform is a SaaS (Software as a Service) that enables companies to: • Register products on the IOTA L1 blockchain • Obtain a verifiable Decentralized Identity (DID) • Notarize labels and product data on-chain • Make products publicly verifiable through the Scanner • Integrate external systems via API and Integration Kit Access to the Platform requires a compatible IOTA wallet and, for full functionality, an active subscription.
3. Prohibited Content
It is strictly prohibited to upload, publish or transmit through FenixTrace: • Materials of illegal nature according to current regulations in Italy, Europe and any other involved jurisdiction • Obscene, pornographic, child pornographic content, or content that incites hatred, violence, racism or discrimination • Images or files that violate third-party intellectual property rights (copyright, trademarks, patents) • False, altered documents or used for fraudulent or deceptive purposes • Unauthorized sensitive data or in violation of GDPR FenixTrace may perform automatic or manual checks in case of suspected violations. It is expressly prohibited to use the Platform to: • Register counterfeit or fraudulent products • Upload illegal, offensive, or defamatory content • Enter sensitive personal data of third parties without consent • Use the Platform for money laundering or terrorism financing • Attempt to compromise the security or integrity of the Platform • Use unauthorized bots, scrapers, or automated tools • Violate third-party intellectual property rights
4. Account Freezing and Removal
FenixTrace reserves the right, at its sole discretion, to temporarily freeze or permanently remove access to a company registered on the platform, when: • A violation of these Terms is detected • The account is used for fraudulent, illegal purposes or not consistent with the platform's purposes • The company uploads misleading files or documents, not relevant to its activity or not compliant with the real supply chain • There are proven reports from other users, authorities or technology partners Such measures may occur without notice, and in serious cases may also include revocation of the on-chain identity associated with the account. Fenix S.r.l. reserves the right, at its sole discretion and without prior notice, to: • Temporarily suspend access to the Platform • Revoke a company's DID identity • Freeze product registration functionality • Terminate the subscription without refund in case of serious violations Suspension does not affect data already recorded on-chain, which remains immutable on the blockchain.
5. Intellectual Property
All intellectual property rights related to the Platform, including but not limited to software, design, trademarks, logos, documentation, and content, are the exclusive property of Fenix S.r.l. or its licensors. Users retain ownership of data and content they upload to the Platform. By uploading content, the user grants Fenix S.r.l. a non-exclusive, worldwide, royalty-free license to store, process, and make such content available for the purpose of providing the service. Unauthorized reproduction, distribution, or modification of any part of the Platform is prohibited.
6. Cooperation with Authorities
FenixTrace is committed to cooperating with competent authorities in case of investigations into illegal activities conducted through the platform. The use of decentralized technologies does not exclude technical traceability of data, nor does it exempt the user from criminal or civil liability arising from their behavior.
7. Limitation of Liability
The Platform is provided "as-is" and "as-available." Fenix S.r.l. does not guarantee: • Continuous and uninterrupted service availability • Absence of errors or bugs in the software • That results obtained through the Platform will meet user expectations • The permanence of data on third-party IPFS nodes In no event shall Fenix S.r.l. be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses. Fenix S.r.l.'s total liability shall in no case exceed the amount paid by the user for the subscription in the 12 months preceding the event giving rise to liability. The user is solely responsible for uploaded content and for using the Platform in compliance with applicable laws.
8. Reports and Support
Users can report suspicious content or violations of the Terms through the dedicated "Report Abuse" section or by writing to: security@fenixtrace.fenixsoftwarelabs.com
9. Disclaimer
FenixTrace provides tools for transparent and decentralized management of business processes, but is not responsible for content uploaded by users. Each company is responsible for the information it signs and publishes, both on-chain and off-chain. FenixTrace does not provide legal, financial, or tax advice. Users are responsible for verifying the compliance of their use of the Platform with applicable regulations in their industry and jurisdiction. Information on the Platform does not constitute a public offer under Italian law.
10. Governing Law & Jurisdiction
These Terms of Use are governed by Italian law. For any dispute arising from the interpretation, execution, or termination of these Terms, the Court of Rome, Italy shall have exclusive jurisdiction. For consumers under the Italian Consumer Code (Legislative Decree 206/2005), the court of the consumer's place of residence or domicile shall apply.
